Event overview

Listed companies acquiring assets at unreasonably high prices or selling substantially undervalued assets has become an increasing concern.

In May 2017, the Securities and Futures Commission (SFC) issued a guidance note on listed company directors’ duties and a circular to financial advisors in relation to valuation in corporate transactions, as well as a statement to valuers on their liability for disclosure of false or misleading information.

We have invited representatives from SFC and an RICS registered valuer specialised in business and intangible assets to give presentation on what company directors, financial advisors and valuers should pay attention to when dealing with such valuation and transactions.

Senior executives from the SFC will present:

  • SFC's documents in relation to valuations in corporate transactions
  • Elaboration of the requirements stipulated by the documents
  • Sharing of non-compliant cases

RICS registered chartered valuer will share best practices of valuation compliance, with special focus on:

  • How to go through and ensure valuation due diligence?
  • How to read and interpret a valuation report?
  • Intangible asset valuation guidance for valuers: requirements from International Valuation Standards (IVS) and RICS Red Book
  • Good and bad examples

Listed company directors, financial advisors, auditors, and valuers will find this seminar useful in dealing with valuation for corporate transactions. An opened Q&A session will be followed.
