Listed companies acquiring assets at unreasonably high prices or selling substantially undervalued assets has become an increasing concern.
In May 2017, the Securities and Futures Commission (SFC) issued a guidance note on listed company directors’ duties and a circular to financial advisors in relation to valuation in corporate transactions, as well as a statement to valuers on their liability for disclosure of false or misleading information.
We have invited representatives from SFC and an RICS registered valuer specialised in business and intangible assets to give presentation on what company directors, financial advisors and valuers should pay attention to when dealing with such valuation and transactions.
Senior executives from the SFC will present:

About the speakers
Yvonne Mok joined the Intermediaries Supervision Department in June 1989 as a manager, fresh from London. In 2004, she was promoted to become the Director of the Department, which currently employs more than 145 professional staff.
Throughout her career, Yvonne has often played an active role in formulating policies governing intermediaries. Recently her focus has been placed on on-site inspections of licensed firms including investment banks and asset managers. In addition, she is also a member of Operation ICE, an acronym that stands for Intermediaries, Corporate and Enforcement, that seeks to develop and implement a coherent, consolidated regulatory approach to HK listed company market quality and conduct concerns.
Like her many colleagues, Yvonne is an auditor by training. Before joining the Commission, she worked for KPMG, London, specializing in the securities industry. Besides being an Associate Member of the Institute of Chartered Accountants in England and Wales (ICAEW), she has obtained a MBA from City University Business School, London, majoring in Finance.
Amanda Wong joined the Corporate Finance Division in 2014. She monitors corporate disclosures under the statutory inside information disclosure regime and assesses companies for activities which may signal corporate misconduct.
Prior to joining the Commission, Amanda was a Director at PricewaterhouseCoopers where she provided financial advisory and valuation services to private and public companies for litigation support, deal support, tax purposes, and financial reporting purposes.
She is a Chartered Financial Analyst and a member of the Hong Kong Society of Financial Analysts.
Stella LawMRICS specializes in valuation of business and intangible assets with over 13 years’ experience in the industry. Stella has been providing valuation services for wide range of purposes, to name but a few, pre-IPO investment/ pre-Deal analysis, due diligence during the negotiation process, as well as financial reporting purpose upon deal completion, which involves valuation of equity interest, financial instruments, intangible assets, intellectual properties, biological assets etc. Industries covered in Stella’s previous projects including but not limited to, real estate and construction, infrastructure, food & beverage, logistic, environmental protection, manufacturing, apparel, telecommunication, information technology, biotechnology, pharmaceutical. She is an active speaker in the business valuation field and has been invited to provide seminars by the Hong Kong Institute of Certified Public Accountants (HKICPA), ACCA, CPA Australia, the Hong Kong Business Accountants Association (HKBAA), Association of Hong Kong Accountants (AHKA), Accounting Development Foundation Limited (ADF), Business of IP Asia Forum (BIP Asia) and the Hong Kong Institute of Chartered Surveyors (HKIS).
She is a chartered member of Royal Institution of Chartered Surveyors (MRICS), Accredited Senior Appraiser of American Society of Appraisers (ASA), Registered Business Valuers of the Hong Kong Business Valuation Forum (HKBVF), executive committee of Licensing Executives Society China (LES), Member of the Hong Kong Institute of Directors (HKIoD), Founding member of Hong Kong-ASEAN Economic Cooperation Foundation. Stella obtains her master degree from the Hong Kong University of Science & Technology in Master of Science in Financial Analysis and she is has a bachelor degree in Engineering (Hons) from the University of Hong Kong, 2003.
